Standard Terms & Conditions of Sale

IMPORTANT : Please read these general terms and conditions of sale carefully as together with your order constitute the contract between BEMCO (The British Electrical & Manufacturing Co Ltd) and you for the sale of the goods you purchase

By placing an order you are confirming you have read understood and agree to these conditions in their entirety

Please ensure you check the details on your order are complete and accurate before committing yourself to this contract, because you will be bound by these conditions once a contract comes into existence between us

Should you not agree with these conditions you must not place an order for any goods or services

We reserve the right to revise and amend these conditions from time to time to reflect any changes that may occur within the market which may affect our business, changes in payment methods or relevant changes in law and regulatory requirements.

You will be subject to the conditions in place at the time you order goods from us

Orders :

You may place an order by :

Emailing your order request to us via the email address you will be provided with on your “Welcome Letter”

Telephoning your order request to us via the relevant branch telephone number you will be provided with on your “Welcome Letter”

Verbally via the relevant branches counter facility

By placing an order you are offering to purchase goods you have selected in accordance with these terms (we may or may not accept your order at our sole discretion)

Prices :

Whilst we endeavour to maintain our prices competitively we reserve the right to change prices without prior notice, prices for goods are displayed in GBP (£ sterling) EXCLUSIVE of VAT unless otherwise stated

Prices are stated on the invoice and any discrepancies must be reported within 48 hours of receipt of invoice

Payment :

When you purchase goods via a credit account payment will be expected on or before the due date which is usually the end of month following invoice unless otherwise stated, if you fail to make payment on or before the due date we reserve the right to suspend future orders and deliveries

Should the account be suspended due to non-payment of the account we reserve the right to charge interest on all outstanding balances calculated on a daily basis as outlined in the Late Payment of Commercial Debts (Interest) Act 1988

The interest rate is a variable rate of the Bank of England base rate plus 8%

We will also claim reasonable costs for recovering the debt if the debt exceeds the compensation amount of £40-£100 per invoice depending on the debt amount

Risk and Ownership of the Goods :

Ownership of the goods delivered or to be delivered by us will only transfer to you when we have received cleared funds of all sums owing to us in respect of the goods

Risk of damage or loss of the goods shall pass to you on delivery of the goods

Until payment is made in full you must store the goods in a safe secure area and clearly marked as BEMCO property, you must not remove any identifying marks or packaging on or relating to the goods

Until ownership has passed to you we retain full legal and beneficial title to the goods and reserve the right at any time to require you to deliver up the goods to us, should you fail to do so we will enter your premises or any third party premises where the goods are stored and repossess the goods

Nevertheless you shall be entitled to sell the goods in their original state or incorporated into other products, however the title of the goods shall remain with us until such time as you pay us in full

Despatch of goods and Delivery :

We will despatch your goods by our local van driver, courier, direct delivery from our supplier or customer collection

Goods are normally despatched on the day of receipt of your order

Time for delivery shall not be of the essence

We shall be under no liability for any delay in delivery or failure to deliver caused by an event out of our control or your failure to provide adequate delivery instructions or any other instructions that are relevant to the supply of the goods

If you fail to take delivery of your order on the agreed date we will store the goods until delivery takes place but may charge you a reasonable sum to cover any redelivery expenses incurred by us

It is your responsibility to check the goods delivered are in full working order BEFORE they are included in any other product or part or sold onto a third party
Each delivery of goods to you will be accompanied by a delivery note detailing the order specification

Any dispute concerning delivery must be submitted within 48 hours

Returns:

Goods correctly supplied may not be returned without the company’s written consent, returns of cable cuts and specials may be refused

Goods returned must be consigned carriage paid and accompanied by a packing note stating the invoice number and date thereof together with the reason for return

In such circumstances we will impose a restocking charge, if the goods (or any of them) are subsequently lost in transit we will only issue credit if it can be conclusively proved we or our agents have actually removed the goods from your premises

All goods must be returned to the branch you have placed the order through and all endeavours must be made to return the goods in their original packaging, securely packed within an outer carton quoting the delivery note/invoice number

The cost of pallets and returnable containers will be charged to you but a full credit will be given provided you return them undamaged to us before the payment due date

Order Cancellation :

No order which has been accepted by us can be cancelled or varied except with the written agreement of a BEMCO representative

We reserve the right at all times to refuse to accept an order, cancel an order, suspend deliveries of orders and refuse the cancellation of an order
